LEGAL

1. Introduction
   1. By registering, using or accessing SalesConnection, the Customer and its Users hereby agree to be bound and be subject to these terms and conditions as contained herein which may be updated and revised from time to time. Your continued use of SalesConnection and its services after such update or revision shall constitute your acceptance and agreement to be bound by the updated Terms of Use and Service.
   2. SalesConnection and its Mobile Application Platform has various features that will help the Customer increase team productivity and business opportunities, of which can be found listed on the following link: salesconnection.my/features. The Customer shall be responsible for its invited Users who are required to have a mobile phone with either Android or iOS operating system that has been updated to the latest Operating System version at least during the past two years. Usage depends upon the subscription validity of the Customer.
   3. Users of the Platform fully and unequivocally acknowledge and agree that SalesConnection is provided on an ‘AS-IS’ basis and shall assume no responsibility whatsoever for the promptness, deletion, amendment, revision, changes, error in delivery or any failure in relation to the delivery of the services provided.
   4. All intellectual property rights in all the materials contained in SalesConnection and its Platform including its logo, the software and products available for download from the Platform belong to Good Works Technology Sdn. Bhd. and may not without prior written permission, be copied, distributed, reproduced, published or used.
2. Fair Usage Policy
   1. Usage of SalesConnection shall be based on the Fair Usage Policy. All functionalities of the Platform and the responsibility of its use is within the control of an Administrator appointed by the Customer.
   2. A registered customer will receive a minimum storage as below for each user accessible during their active subscription period. The provided amount is shared with all users within the same company. The items provided below may differ based on your chosen subscription plan:
      1. 10GB Data Storage.
      2. 500 Contacts.
      3. 3,500 GPS request per annum.
      4. 800 Assets.
   3. Usage may be increased with extra storage as follows:
      1. 10GB Extra storage per year for USD200.00
      2. 1,000 Extra GPS Request per year for USD100.00
      3. 3,500 GPS request per annum.
      4. 800 Assets.
3. Users' Obligation
   1. In using SalesConnection and its Platform, all Users declare as follows:-
      1. that they are of legal age to form a binding contract and are not a person barred from receiving services under the laws of Malaysia or other applicable jurisdictions.
      2. that they shall provide true, accurate, current and complete information about themselves.
      3. that they shall maintain and promptly update the Registration Data to keep it true, accurate, current and complete;
      4. that they have read, understood, agree and consent to the Personal Protection and Data Notice of SalesConnection;
      5. that they shall be responsible for maintaining the confidentiality of their own password;
      6. that the designated Account is personal to each User and cannot be shared with third parties or transferred to third parties under any circumstances whatsoever;
      7. that they consent to be added to SalesConnection’s mailing list to receive emails about service information, special offers, and promotions from salesconnection.my
      8. that they consent for SalesConnection to use their personal data and image(s) on the salesConnection Platform and its affiliated entities for promotional purposes in any and all media, including without limitation to advertising, solicitation or trade;
      9. that they consent to SalesConnection tracking a User’s session by logging the User’s computer as well as device IP address and browser type;
      10. that they will not hold SalesConnection liable for any deletion or failure to store any messages and other communications or other Content maintained or transmitted by or made available through its Platform;
      11. that they are not and shall not at any time be non-compliant of any provision required by law or regulations governing their profession or industry;
      12. that they will comply with all applicable laws regarding the transmission of technical data exported from the country in which the User resides; and
      13. that they shall indemnify and keep indemnified SalesConnection, its holding, subsidiary, affiliated and related companies, officers, agents, employees, partners, suppliers, co-branders, licensors harmless from any claim or demand, including reasonable legal or attorneys’ fees, made by any third party due to or arising from the Content you submit, post, transmit or otherwise make available through SalesConnection and its Platform or any violation of the Terms Of Use And Service herein, or as a consequence of any violation or breach of any applicable law.
   2. In the event that any information provided by a Customer or a user is found to be untrue, inaccurate, not current or incomplete, or SalesConnection has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, then SalesConnection shall reserve the right:-
      1. to refuse to register or designate any Account to the user concerned; Or
      2. to suspend or terminate the Account of the user concerned; Or
      3. to refuse any and all current or future use of SalesConnection (or any portion thereof) to the User and/or Customer.
   3. The use and conduct of SalesConnection and its Platform by Users shall at all times be professional and ethical; and a Customer or a User hereby agrees NOT to use SalesConnection and its Platform to:-
      1. upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, disrespectful, harassing, tortious, defamatory, vulgar, obscene, pornographic, libellous, invasive of another’s privacy, subversive, hateful, or racially, ethnically or otherwise objectionable or contrary to public interest, public order or national harmony in all relevant jurisdictions;
      2. harm minors in any way;
      3. impersonate any person or entity, including, but not limited to, our servant, agent, employee or official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
      4. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Platform;
      5. upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
      6. upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
      7. upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
      8. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
      9. disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users of the SalesConnection are able to type, or otherwise act in a manner that negatively affects other users’ ability to engage in real time exchanges;
      10. interfere with or disrupt the service of SalesConnection or another person’s use of the SalesConnection or servers or networks connected to SalesConnection, or disobey any requirements, procedures, policies or regulations of networks connected to SalesConnection or its Platform;
      11. intentionally or unintentionally violate any applicable law, statute, ordinance, regulation, rule or code, including, but not limited to, any regulations, rules, notices, instructions or directives of any regulatory body or authority, governmental agency or national or other securities exchange;
      12. “stalk” or otherwise harass another;
      13. commit any fraudulent or unlawful act, whether in relation to any third-party provider of products and services on the Platform or otherwise and/or;
      14. collect or store personal data about other users in SalesConnection with the prohibited conduct and activities set forth herein this Clause;
      15. to cache, hyperlink to, and frame the whole or any part of any websites comprised of in the Service save with our prior written permission.
      16. to harvest or crawl data or information from our platform using mechanical, automated means; or
      17. reproduce, duplicate, copy, sell, trade, resell, publish, distribute or exploit for any commercial or non-commercial purposes, any portion of SalesConnection and its platform, use or access to SalesConnection including all Content such as photographs, advertisements, information, listings and articles posted by others without the formal written consent of SalesConnecton and the other Users;
      18. attempt to change or modify the existing system structure of SalesConnection, its Platform or the enabled Account of the User or Customer in any way whatsoever;
      19. disclose or use any information made available by SalesConnection including SalesConnectin’s reporting system and other performance metrics and any other technical or programming information that SalesConnection discloses or makes available to the Customer or User;
      failing which SalesConnection shall have the right :-
      1. to disable any links to any other website in its sole absolute discretion;
      2. to move or remove any Content that SalesConnection in its discretion deems to violate the Terms of Use And Service or that has been alleged to infringe any intellectual property or that is otherwise objectionable; and/or
      3. to access, preserve and disclose the account information of the User and Content if required to do so by law.
4. Links to other websites

   SalesConnection and its Platform has links to third-party websites and information. SalesConnection shall not be deemed to endorse, recommend, approve, guarantee or introduce any third parties, their products and services or the service/products they provide on their web site, or have any form of cooperation with such third parties and web sites. In the event that the links displayed are used, you are advised to read the terms of use and privacy & security policies published on those sites.

5. Termination

   SalesConnection may under certain circumstances, in its sole discretion and without prior notice and without any liability to the Customer, User or any third party, terminate an Account if there are :-

   1. breaches or violations or purported breaches or violations of the Terms Of Use And Service or other incorporated agreements or guidelines,
   2. requests by law enforcement or other government agencies,
   3. request by a User (self-initiated account deletions),
   4. discontinuance or material modification of the Customer’s use on the Platfor
   5. unexpected technical or security issues or problems,
   6. extended periods of inactivity,
   7. engagement of User in fraudulent or illegal activities, and/or
   8. non-payment of any fees in connection with the use and subscription of SalesConnection
6. Limitation of Liability
   1. Any claims you make or lodge against SalesConnection or Good Works Technology Sdn Bhd shall be strictly limited to the amount of annual subscription paid by the Customer.
   2. SalesConnection shall not be liable to the Customer and/or the Users for damages in respect of:
      1. any loss of profits, goodwill, use, data or other intangible losses
      2. for death or personal injury resulting from its or their negligence;
      3. for accuracy, usefulness or availability of any information transmitted or made available via SalesConnection and its Platform the Service;
      4. for any trading or investment decisions based on information and Content of any Customer or User displayed on SalesConnection and its Platform.
7. General
   1. If any provision of these terms is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of this notice, which shall remain in full force and effect. Failure by either party to exercise any right or remedy under these terms does not constitute a waiver of that right or remedy.
   2. These terms shall be governed by the laws of Malaysia and jurisdiction to settle any dispute that may arise out of, under, or in connection with these terms.
   3. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Terms of Use and Service.
   4. Neither party shall be liable for any delay or failure to perform its obligations so long as the delay or failure is the result of an event beyond its reasonable control including but not limited to acts of God, civil commotion, riot, explosion, lighting, tempest, storm, flood, war or act of war, act of terrorism, government declared curfew, restricted movement orders, quarantines and/or such other similar orders imposed by the Government and/or any relevant authority which restricts the normal workplace schedule and/or movement of the general public, businesses, banks and financial institutions, and/or transport/postal courier services.
   5. SalesConnection reserves the right to vary the Terms of Use and Services from time to time with notice to the Customer and its users at www.salesconnection.my and the Customer’s continued use of SalesConnection and its Platform shall be bound by such variation and changes.

We at SalesConnection – Good Works Technology Sdn Bhd recognise the importance of privacy and the sensitivity of personal data and information. As required under the Personal Data Protection Act 2010, the purpose of this Personal Data Protection Notice (“Notice”) is to inform you how we collect and process your personal data when you use SalesConnection. B registering, using and continuing to use, access SalesConnection or engage our services, you consent to us using, collecting and processing your personal data in the manner contemplated in this Notice.

This Notice may amended or updated from time to time and by continuing to use or engage our services, it would confirm and indicate your acceptance to the amendments or updates to this Notice.

The type of personal data collected and processed may include but is not limited to the following information:

1. Name, addresses, telephone numbers, email addresses, fax numbers, mobile numbers, NRIC number, gender, payment information including credit card details, photograph, food preferences for catering purposes, academic results or transcripts for entry requirement checking, referrals information and personal preferences.
2. Other additional information collected in addition to the above for staff and contractors work application purposes which includes health status, marital status, details of children, race, previous work history, performance reviews, income, previous employer information, references, tax file identification number, EPF number, SOCSO number and criminal history.
3. Use of SalesConnection products.
4. Personal information provided via survey, feedback forms or other marketing research efforts.
5. Personal information provided to customer service representatives to research or resolve issues or answer enquiries or lodge complaints.
6. Personal information collected through cookies such as the date and time you accessed each page on the SalesConnection Platform, the URL of any webpage from which you accessed the said Platform; and the web browser that you are using and the pages you accessed.
7. Such other relevant information and data to enable SalesConnection to provide you with relevant requested services.

Sources of Personal Data
SalesConnection collects your Personal Data directly from you at the enquiry stage, registration stage and in the course of your use of the SalesConnection Platform. Sometimes information about you may be obtained from other sources such as:

1. official registration or application forms (either electronic or printed) for seminars, courses or in-house talks, newsletter subscription or any other promotional events;
2. official request for information forms that are provided to you by SalesConnection employees;
3. any queries, emails or any correspondences that SalesConnection has received from you requesting for information or making enquiries;
4. any ‘contact’ forms that you may have submitted through the SalesConnection Platform;
5. any referrals that SalesConnection may have obtained from existing clients, directors, associates, employees, contractors, suppliers or contacts;
6. business cards that were dropped or given to SalesConnection directors, associates, employees or contractors;
7. cookies through use of the SalesConnection Platform;
8. application forms submitted to SalesConnection either physically or online for the purposes of job application.

How Do We Use Your Personal Data
Your personal data is collected and processed for the services requested on SalesConnection Platform including the following purposes:

1. to verify your identity;
2. to communicate with you including responding to your enquiries in our “Contact Us” Web form;
3. all purposes related to or in connection with the product and/or services on the Platform;
4. for our day-to-day operations and administrative purposes including file management, billing and collection, audits, reporting, investigations etc.;
5. to send you materials or publications including newsletter, articles or updates or information about events, conferences, seminars, talks which may be of interest to you;
6. to promote, offer or market our services to you;
7. to assist in the prevention, detection or investigation of crime or possible criminal activities or for the administration of justice;
8. for security and internal audit purposes;
9. for such other purposes as may be directed or consented to by you; and
10. for all other purposes in relation to or incidental to the above.

Disclosure of Your Personal Data
Under certain circumstances, we may be required to disclose your personal data to third parties. Third parties to whom your personal data may be disclosed by us are as follows:

1. any persons directed by or consented to by you;
2. any persons required for the purposes of the legal engagements and/or legal transactions including but not limited to counter parties, other advisors, financial institutions, regulatory bodies etc;
3. any person for the purposes of compliance with legal and regulatory requirements;
4. our data processors i.e. third party who we engage to process personal data on our behalf including but notlimited to archival storage, data entry service providers, computer backup services, disaster recovery services, banks and financial institutions etc.; and
5. our professional advisors including but not limited to legal advisors, tax advisors, financial advisors, auditors, insurance brokers etc.

Further, we may also be required to transfer your personal data outside of Malaysia for the purposes and to such third parties stated in this Notice. The transfer of your personal data outside Malaysia would also be required if you are travelling, residing or based outside Malaysia.

Obligation to Provide Personal Data We acknowledge that you have the right in deciding the information you wish to provide to us. The provision of the information listed above is voluntary in nature. However, please note that if you do not provide the information above or limit the way such information is to be processed, it may result in us not being able to:

1. communicate or correspond with you; and/or
2. undertake the legal engagement or transaction and/or to provide our services to you.

Data Access and Data Correction If you wish to request:

1. for access to your personal information;
2. for your personal data to be corrected or updated; or
3. to withdraw your consent or limit the use of your personal data;

please submit your written request directly to us at SalesConnection and also providing us the name of the SalesConnection customer who submitted your data to SalesConnection.

An administrative charge may be imposed for any request under paragraph (a) and (b) above.

Further, we reserve the right to refuse your requests for any reasons permitted under law.

Disclaimer The accuracy and completeness of your personal data depends on the information you provide. We assume that the information you have provided is accurate, up to date and complete unless you inform us otherwise.

Where you provide any third party information to us including but not limited to employer, colleagues, family information, it is our assumption that such information is accurate, up to date and complete and that you have obtained the necessary consent to disclose the same.
